These terms govern your use of the website at digitalfractal.com and your dealings with Digital Fractal Technologies Inc (“Digital Fractal”, “we”, “us”, “our”). By using this website or engaging us, you accept these terms. If you do not accept them, please do not use the site.

1. Who we are

Digital Fractal Technologies Inc is a corporation registered in Canada, operating from Edmonton, Alberta. We design and build websites, backend systems, and mobile applications.

2. What these terms cover, and what they do not

These terms cover your use of our website and general dealings with us, such as making an enquiry or receiving a proposal.

They do not set the terms of a project. Every engagement is governed by a signed agreement, statement of work, or accepted proposal that sets out scope, deliverables, acceptance, fees, timelines, warranties, intellectual property ownership, confidentiality, data protection, and liability. Where that agreement says something different from these terms, the agreement governs for the work it covers. Nothing on this website constitutes an offer capable of acceptance, a quotation, or a commitment to perform work.

3. Using our website

You may use this website for lawful purposes connected with evaluating or engaging our services. You must not use it to break the law or infringe anyone’s rights; introduce malware or harmful code; attempt to gain unauthorized access to the site, its servers, or any connected system; probe, scan, or test the vulnerability of our infrastructure without our prior written permission; scrape or harvest content or contact details by automated means; interfere with the site’s normal operation or place unreasonable load on it; or misrepresent your identity or affiliation.

If you believe you have found a security vulnerability in one of our systems, please tell us at contact@digitalfractal.com rather than disclosing it publicly. We will acknowledge your report and work with you in good faith.

4. Content on this website

Everything on this site, including text, graphics, logos, images, and code, belongs to Digital Fractal or to those who licensed it to us, and is protected by copyright, trade mark, and other laws. You may view the site, and print or download extracts for your own reference or to evaluate working with us. You may not republish, redistribute, sell, or create derivative works from our content, or use our name or logo, without our written permission.

Ownership of anything we create for a client, including source code, designs, and documentation, is determined by the agreement governing that engagement, not by this page.

Case studies and client names appear on this site only where the client has agreed to it.

5. Information on this website

We publish general information about our services, approach, and past work. It is provided for information only and is not technical, legal, or professional advice, and should not be relied on for a specific decision without talking to us. We try to keep the site accurate and current but do not warrant that it is free of errors or omissions, and we may change it at any time.

6. Third-party services, links, and open source

This site may link to websites we do not control. We provide those links for convenience and are not responsible for the content, accuracy, or practices of those sites. Following a link is at your own risk and that site’s own terms will apply.

The systems we build commonly incorporate open source components and third-party services. Where that is the case, the relevant licences and third-party terms are identified in the project documentation and apply to those components. Our warranties cover the work we perform, not the underlying behaviour of third-party software or services.

7. AI-assisted delivery

We use AI-assisted tools in parts of our development and operational work. Where we do, a qualified person reviews the output before it is delivered or relied upon, and we remain fully responsible for what we deliver under the applicable agreement. We configure these tools so that client material is not used to train third-party models where that option is available.

A client who prefers that AI-assisted tools not be used on their engagement may say so in writing, and we will accommodate that in the project agreement.

Where a project involves building AI or machine learning features, the client determines the system’s purpose and use. We will advise on transparency, human oversight, data quality, and assessing the impact of automated decisions, and implement the controls agreed in the project. Responsibility for operating the delivered system rests with the client.

8. Communicating with us

You can reach us by email, telephone, web form, or text message. Please do not send confidential or sensitive information through the website contact form or by unencrypted email before we have an agreement in place. If you need to send us something sensitive, ask us and we will arrange a secure method.

Calls and messages to our business number may be answered or triaged by an automated assistant. How we handle the resulting information is described in our Privacy Policy.

Text messaging. Our business number, 780-669-0944, accepts text messages. This is a conversational support line for clients and prospective clients, not a marketing channel. Every exchange begins with you: either you text us first, or you give us your mobile number and ask us to reach you that way. We never text anyone who has not contacted us first, and we do not send promotional or bulk messages.

Message frequency varies and depends on your own correspondence with us. Message and data rates may apply, as set by your mobile carrier; we charge nothing for this. Reply STOP to any message to stop receiving texts, and you will get one confirmation and nothing after that unless you contact us again. Reply HELP for assistance, or reach us at contact@digitalfractal.com or 780-669-0944. Mobile carriers are not liable for delayed or undelivered messages. The programme is available on major Canadian and United States mobile carriers, and carrier participation may change without notice.

No mobile information will be shared with third parties or affiliates for marketing or promotional purposes.

Email. We send commercial messages only to people who have consented or with whom we have an existing business relationship, in line with Canada’s Anti-Spam Legislation. Every such message identifies us, gives our address, and carries a working unsubscribe link. If you believe you have received a message from us in error, tell us at contact@digitalfractal.com and we will put it right.

9. Confidentiality and security

We treat client information as confidential and maintain administrative, technical, and physical safeguards to protect it, described in our Privacy Policy. We are working towards certification of our information security management system against ISO/IEC 27001. Specific confidentiality and data protection obligations for an engagement are set out in the agreement covering it.

10. Privacy

Our handling of personal information is described in our Privacy Policy, which forms part of these terms.

11. Availability of the website

We aim to keep the site available but do not guarantee uninterrupted access. We may suspend, withdraw, or restrict all or part of it for business or operational reasons, including maintenance, without notice and without liability.

12. Disclaimers

This website and its content are provided on an “as is” and “as available” basis. To the fullest extent permitted by law, we exclude all warranties, conditions, and representations of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, accuracy, and non-infringement, in relation to the website and its content. We do not warrant that the site will be uninterrupted, timely, secure, or error free, or that it is free of viruses or other harmful components.

Warranties relating to work we perform for clients are set out in the agreement governing that work, and this section does not limit them.

Some jurisdictions do not allow the exclusion of implied warranties, so parts of this section may not apply to you.

13. Limitation of liability

To the fullest extent permitted by law, Digital Fractal Technologies Inc and its directors, officers, employees, and contractors will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, business, goodwill, anticipated savings, or data, arising out of or in connection with your use of this website, however caused and on any theory of liability, even if we have been advised of the possibility of such damages.

Our total aggregate liability arising from your use of this website will not exceed one hundred Canadian dollars (CAD $100).

Liability arising from a client engagement is governed exclusively by the agreement covering that engagement, and the limit above does not apply to it.

Nothing in these terms excludes or limits liability that cannot lawfully be excluded or limited, including liability for fraud, fraudulent misrepresentation, or death or personal injury caused by negligence.

14. Indemnity

You agree to indemnify Digital Fractal Technologies Inc against any claim, loss, liability, or expense, including reasonable legal fees, arising from your breach of these terms or your unlawful or unauthorized use of this website.

15. Canadian Anti-Spam Legislation

We take reasonable steps to comply with Canada’s Anti-Spam Legislation in our commercial electronic messages. If you become aware of any potential non-compliance involving Digital Fractal, please tell us promptly at contact@digitalfractal.com so we can investigate and correct it.

16. Governing law and jurisdiction

These terms, and any dispute arising from them or from your use of this website, are governed by the laws of the Province of Alberta and the federal laws of Canada applicable in Alberta, without regard to conflict of law principles. You agree to the exclusive jurisdiction of the courts of the Province of Alberta, except where applicable consumer protection law gives you the right to bring proceedings in your own jurisdiction.

17. General

If any provision of these terms is found unenforceable, the rest remain in effect. Our failure to enforce a provision is not a waiver of it. You may not assign your rights under these terms without our consent. These terms, together with our Privacy Policy and any agreement governing an engagement, form the entire agreement between us in relation to this website.

18. Changes to these terms

We review these terms at least annually and may update them. The version number and effective date at the top tell you which version applies. Continued use of the website after a change takes effect means you accept the revised terms.
